The Board of Directors of ENGIE Brasil Energia (EGIE3) approved, on November 5, 2026, the merger of its wholly owned subsidiary, ENGIE Brasil Energia Comercializadora Ltda (EBC). The transaction aims to simplify the company's corporate structure, optimize management and achieve efficiency gains. The trading company will be dissolved and succeeded by ENGIE in all rights and obligations.

Since EBC is a wholly owned subsidiary and ENGIE holds 100% of its share capital, the merger will involve no capital increase, no issuance of new shares and no share exchange ratio. There will also be no withdrawal right (the right of a shareholder to leave the company in exchange for a reimbursement). The transaction does not depend on approval from Brazilian or foreign authorities.

Management estimates the costs of the transaction at about R$ 80,000, including expenses for publications, registrations, auditors, appraisers and lawyers. According to the company, the merger will allow greater operational efficiency, with simplified internal processes, and better cash management, with reduced costs and less tied-up capital. The company stated that the transaction does not represent an additional risk factor.

EBC operates in the trading of electricity in the free market, including purchase, sale, import and export. ENGIE operates in electricity generation, transmission and trading, and holds a stake in Transportadora Associada de Gás (TAG).

The Board also called an Extraordinary General Meeting (EGM) for November 30, 2026, to deliberate on the merger. The transaction documents will be available to shareholders at the company's headquarters and on the Investor Relations websites of ENGIE, the CVM and B3.
