Vistra (VST) completed the acquisition of Cogentrix Energy from funds managed by Quantum Capital Group on October 30, 2026. Payment consisted of about $2.2 billion in cash, after adjustments, and 5 million shares of Vistra common stock, valued at $185 per share. The transaction was completed after all regulatory approvals were received.

The portfolio comprises 10 natural gas plants, with about 5,500 MW of capacity (5,496 MW), in the PJM, ISO New England and ERCOT markets. With the assets, Vistra's generation capacity reaches almost 50,000 MW in the United States. Vistra now owns 100% of the plants, including the 25% stake in Patriot and Hamilton-Liberty that Cogentrix did not own.

With the transaction, Vistra assumed about $1.7 billion in debt from the acquired company: about $800 million under one credit agreement and $900 million under another. Vistra notified the lenders on November 2, 2026 that it would repay the loans in full and expects to pay them off around November 5, 2026.

The shares delivered to the seller were not registered and cannot be transferred until January 30, 2027, with certain exceptions. Vistra is expected to register the resale of these shares with the SEC. CEO Jim Burke said that "natural gas plays a critical role in meeting the country's growing power demand, and Cogentrix's assets are a strong strategic fit for Vistra".
