BB Seguridade (BBSE3) on Tuesday (November 3, 2026) invited its minority shareholders to nominate candidates for the open seat on the Board of Directors, following the resignation of board member Maria Carolina Ferreira Lacerda. She also left the company's Related Party Transactions Committee. The seat will be filled through a separate election, a mechanism reserved for minority shareholders, to complete the 2025/2027 term.

The election will take place at an extraordinary general meeting (EGM) scheduled for December 14, 2026, on first call. The meeting notice will be published at least 30 days in advance. Nominated candidates will appear on the absentee ballot when the meeting documents are released.

Nominations must be sent to [email protected], along with the shareholder and candidate documents required by the company. For the name to be included in management's proposal, BB Seguridade recommends submitting it by November 10, 2026. The company will notify the shareholder within 3 business days of any irregularities or missing documents, and corrections must be made by that same November 10, or the nomination will be disregarded. Nominations without the required documents will not be accepted.

Nominations after November 10 may also be made, particularly after the meeting is called, provided they follow the deadlines set by CVM regulations and the Brazilian Corporation Law and undergo review by the eligibility committee.

Before the meeting, candidates will be assessed by the People, Eligibility, Succession and Compensation Committee, which will give its opinion on whether they meet the requirements and are free of the disqualifications set out in law, the bylaws and the company's governance policy. Valid nominations will be disclosed to the market after this review.
