On September 24, 2026, Trisul (TRIS3), in a meeting of its Board of Directors, approved the 1st issuance of book-entry commercial notes, in a single series, in the total amount of R$ 100,000,000.00, with a 5-year maturity period counted from the issue date. A total of 100,000 book-entry commercial notes will be issued, with a unit face value of R$ 1,000.00, which will be offered in a public distribution under the automatic registration procedure and with a firm commitment underwriting regime.
The unit face value, or its outstanding balance, of the notes will not be adjusted for inflation, and compensation will correspond to the accumulated variation of 100% of the daily average DI – 1-day Interbank Deposits rates, based on 252 business days, calculated and disclosed by B3, plus a surcharge (spread) of 0.35% per year, also based on 252 business days.
The issuance will be carried out under the Eco Invest Brasil Program, established by Law No. 14,995 and Ministry of Finance Ordinance No. 964. The funds raised will be allocated to financing projects that will be described and characterized in the deed of issuance of the book-entry commercial notes, falling within the eligibility criteria of Ordinance MF 964, without falling under the exclusion criteria and complying with the safeguards set out in the same regulation.
