Dexco (DXCO3) reported that it carried out related-party transactions with Leo S.A. from August 5 to September 16, 2026, totaling R$ 53,138,440.34 in sales of wood panels for the domestic market.

According to the company, the controlling interest in Leo S.A. is held by the Seibel Group, which is part of Dexco’s controlling shareholder group. The transactions are described as recurring commercial operations for the supply of wood panels.

Dexco’s management stated that sales to Leo S.A., a long-standing client, were carried out under normal market conditions, in line with the company’s commercial policy. The transactions were reviewed by the Committee for the Evaluation of Related-Party Transactions, formed and chaired by independent board members, which issued a favorable opinion on the grounds that they were conducted under fair market conditions and in compliance with the Related-Party Transactions Policy.

Dexco also emphasized that neither Leo S.A. nor its partners or officers took part in the company’s decision-making process regarding these transactions, since the officers of the Seibel Group are not members of the Committee for the Evaluation of Related-Party Transactions.
