Oncoclínicas do Brasil Serviços Médicos S.A. (ONCO3) reported in a material fact notice this Thursday, September 24, 2026, that its Board of Directors received on September 15, 2026, a letter from the funds Latache IV Fundo de Investimento Financeiro Multimercado Crédito Privado, Nova Almeida Fundo de Investimento Financeiro Multimercado and Latache MHF I Fundo de Investimento Financeiro em Ações, which hold more than 5% of the share capital, requesting the call of an Extraordinary General Meeting (EGM) to resolve on the suspension of the exercise of the rights of the shareholder Josephina III Fundo de Investimento em Participações.

The Board of Directors evaluated the requirements for calling the EGM at the request of the Latache Funds and decided, by majority of its members, to call the meeting, which will take place in the coming days. According to the notice, the Board, within the scope of its authority, did not make any value judgment on the merits of the matter, understanding that it is exclusively a right of the shareholders.

In the request sent to management, the Latache Funds base their request on the unanimous decision of the Board of the Comissão de Valores Mobiliários (CVM), dated August 25, 2026, which recognized the mandatory tender offer for acquisition of shares provided for in article 39 of the Company’s Bylaws (Statutory Tender Offer) after the reorganization disclosed on November 4, 2024, through which Josephina III came to hold an interest exceeding 15% of Oncoclínicas’ share capital.

The funds request that the EGM resolve, based on article 120 of Law No. 6,404/1976 and article 39, paragraph 5, of the Company’s Bylaws, on the suspension of the exercise of shareholder rights of Josephina III that are subject to suspension, with effects as from the shareholders’ resolution and until full compliance with the obligation to carry out the Statutory Tender Offer recognized by the CVM on August 25, 2026, clarifying that the said shareholder may not vote on this resolution and that the suspension will automatically cease when the obligation is fulfilled.

Oncoclínicas stated that it will keep its shareholders and the market informed of any relevant developments related to the matter, including the formal call of the EGM and the documents that may be made available for shareholders’ resolutions.
