Banco Bradesco (BBDC4) reported that, in the capital increase with subscription of new shares announced on July 29, 2026, a total of 402,471,777 shares were subscribed during the preemptive rights period, which ended on September 4, 2026. A total of 202,380,976 unsubscribed shares remained, being 50,217,384 common shares (ON) and 152,163,592 preferred shares (PN), which will be considered leftover shares to be allocated.

The leftover shares will be allocated exclusively among shareholders who exercised their preemptive rights and expressed interest in reserving leftover shares. Each subscribed common share will entitle the holder to subscribe to 19.902247370% of a common share and 31.271512790% of a preferred share, while each subscribed preferred share will entitle the holder to subscribe to 51.173760160% of a preferred share. Fractions will be disregarded, with only the whole-number portion of the result being considered, and if the calculation results in a quantity of less than one share, there will be no leftover shares available for the respective subscriber.

Shareholders who expressed interest may subscribe to the leftover shares between September 21 and 25, 2026, at the same issue prices as in the preemptive rights period: R$ 15.43 per common share and R$ 17.64 per preferred share. Payment for the leftover shares will be in cash, in Brazilian currency, debited from a checking account at Bradesco on September 30, 2026 and/or via PIX at the time of subscription, in accordance with the rules of the transfer agent and B3’s Central Depository.

During the leftover subscription period, assignment of the respective rights will be allowed, which may be carried out through the Bradesco Digital Documents Portal, for shares registered with the transfer agent, or through custody agents, for shares in the Central Depository, between September 21 and 24, 2026. The subscription receipts for the leftover shares will be available immediately after payment, when subscribed through the transfer agent, or on the next business day, when subscribed through the Central Depository, and may be traded on B3 from September 30, 2026 until the capital increase is approved by the Central Bank of Brazil.

If there are still unsubscribed shares after the allocation, Bradesco may carry out a new allocation among the participants in the leftover subscription or hold an auction on B3, or, once the minimum subscription amount of R$ 8 billion has been reached and the conditions disclosed on July 29, 2026 have been observed, the Board of Directors may approve the capital increase on a partial basis, with cancellation of the unsubscribed shares. The newly issued shares will be fully entitled to dividends, Interest on Equity (JCP) and other distributions declared as from the date the capital increase is approved by the Central Bank.
