Orizon Valorização de Resíduos (ORVR3) reported on Tuesday, August 18, 2026, that its subsidiary Vital Engenharia Ambiental has completed the acquisition of an additional 5.85% ownership interest in the share capital of the concession holder Ecourbis Ambiental. With the transaction, carried out in 2026, Vital’s stake in Ecourbis increases from 63.3% to approximately 69.1%.
Ecourbis holds the concession for urban solid waste collection, transportation and final disposal services in the city of São Paulo, under a contract valid until 2044. The concessionaire operates with a fixed monthly tariff of around R$ 130 million, in addition to supplemental non-tariff revenues.
In 2025, Ecourbis reported net revenue of R$ 1,312.6 million, EBITDA (earnings before interest, taxes, depreciation and amortization) of R$ 542.7 million and net income of R$ 386.9 million, with a net cash position of R$ 442.1 million, according to Orizon. The 2025 net revenue, EBITDA and net income figures exclude the effects of the ICPC-01 accounting standard.
The value attributed to the acquired stake is R$ 69.2 million, which will be paid in installments and adjusted by the IPCA. According to the company, the transaction is part of OrizonVR’s strategy to simplify its corporate structure and increases its exposure to one of its assets considered most relevant.
