Orizon Valorização de Resíduos (ORVR3) reported this Thursday, August 13, 2026, that its wholly owned subsidiary Orizon Meio Ambiente S.A. has signed an agreement to acquire 51% of the share capital of the company that owns the Rondonópolis Sanitary Landfill, located in the municipality of Rondonópolis, in the state of Mato Grosso. The asset is licensed, in operation, and receives an average of 13,000 to 14,000 tons per month of municipal solid waste, serving the municipality and surrounding cities.
According to the company, the new Ecopark strengthens Orizon’s position in Mato Grosso, where it already operates the Ecopark Cuiabá, and represents another step in its strategy to consolidate the sector and expand its waste bank, increasing the value of the waste under management through biogas generation, energy and/or biomethane sales, and the certification and sale of carbon credits, among other fronts.
The enterprise value attributed to the acquired 51% stake is R$ 45.4 million, to be paid in cash at the closing of the transaction. The asset has a current estimated annual EBITDA (earnings before interest, taxes, depreciation and amortization) between R$ 16 million and R$ 18 million, considering 100% ownership.
The closing of the transaction is still subject to approval by the Administrative Council for Economic Defense (CADE) and the fulfillment of the other conditions precedent set forth in the agreement. Orizon stated that it will keep shareholders and the market informed about further developments.
