Americanas S.A. – In Judicial Reorganization (AMER3) reported on Friday, August 7, 2026, that, together with Fan Store Entretenimento S.A. (BandUP!), it has completed the price adjustment procedure stipulated in the purchase and sale agreement for UPI Uni.Co, executed on April 1, 2026.
After completion of this procedure, the Final Acquisition Price of UPI Uni.Co was determined at R$ 162,048,987.13, an amount higher than the Base Price of R$ 152,903,467.00 originally defined in the agreement.
According to the agreement, the remaining balance of the Final Acquisition Price, after deduction of the upfront payment of R$ 20,000,000.00 made on the closing date, will be settled in 5 equal, annual, and successive installments of R$ 28,409,797.43 each, adjusted by the positive variation of 100% of the CDI between the closing date (inclusive) and the actual payment date (exclusive), maturing as from the 1st anniversary of the closing date.
Americanas stated that it will keep its shareholders and the market informed about the progress of matters related to this transaction.
