Fundamental Analysis of NUTR3 (Nutriplant)

IA

Nutriplant is a company in the Basic Materials sector, operating in the Chemicals subsector, in the Fertilizers and Pesticides segment. Founded in 1979, it focuses on the manufacture and trade of agricultural fertilizers, with an emphasis on soil micronutrients, granular products and soluble fertilizers. Over time, it has expanded its portfolio with foliar formulations, organomineral products and nutrients for animal feed. The company, listed on B3 under the ticker NUTR3, is undergoing an out-of-court reorganization process, which indicates a restructuring of its financial obligations.

In its disclosed financial fundamentals, Nutriplant shows profitability as measured by double-digit ROE and ROIC, suggesting an ability to generate returns above the typical cost of capital for the sector. Gross, EBIT and net margins are relatively modest, consistent with the competitive nature of the fertilizer market. Recent five-year revenue and profit growth is strong, while leverage, measured by the net debt/EBITDA ratio, indicates manageable indebtedness. Current and quick liquidity ratios suggest some cushion to cover short-term obligations, but everything should be interpreted in conjunction with the out-of-court reorganization scenario.

The company received a 0.0 score on the Visno Score, mainly reflecting very low tradability, despite high scores in profitability, liquidity and growth. This picture suggests that, even with favorable operating indicators, NUTR3 shares have low liquidity in the market, which may affect the trading experience on B3.

About Nutriplant

Nutriplant, traded on B3 under the ticker NUTR3, is a Brazilian company specialized in the manufacture and sale of fertilizers, with a focus on micronutrients for agriculture. Established in 1979 by Frit Industries and Ferro Corporation, it was created with the purpose of producing specific agricultural fertilizers that would later become widely known as micronutrients. The industrial plant began operations in 1980 and was a pioneer in the production of soil micronutrients in Brazil, consolidating the FTE (Fritted Traced Elements) brand as a national benchmark for this type of product. Over the following decades, the company went through different expansion cycles, changes of control, and corporate restructurings, keeping pace with technological evolution and the demands of Brazilian agribusiness.

During the 1980s and 1990s, Nutriplant significantly expanded its production capacity and portfolio. After 1986, it began producing granular micronutrients, reinforcing the position of the FTE brand. In 1993, with Frit Industries taking full ownership of the shares then held by Ferro Corporation, the company entered a phase of more intense product launches, with two new production lines: fully soluble fertilizers (FTS) and the Green Top line of foliar micronutrients. In 1995, it established a partnership with international producers of high-purity mineral salts, aimed at producing foliar formulations suitable for hydroponic applications and fertigation. In the following years, it incorporated new product families, including specific foliar formulations, an organomineral line, adjuvants, and nutrients for animal feed, reflecting a diversification strategy within the segment of high value-added inputs for the field.

Nutriplant’s ownership structure went through significant changes starting in 2004, when Tripto, the current controlling shareholder, entered into an agreement to acquire corporate control, gradually taking over the majority of the capital. In 2007, Tripto came to hold 100% of the shares representing the company’s capital stock, consolidating control. In 2008, the company went public on the Bovespa Mais segment, issuing new shares, then traded under the code NUTR3M, raising funds for growth and modernization. Later, in 2012, it fully merged Quirios Produtos Químicos Ltda., which became a wholly owned subsidiary and added to the group the production of inorganic specialties and raw materials for various industrial segments. The company has also undergone capital adjustments, reverse stock splits and stock splits over time, and entered into an out-of-court reorganization process, whose plan was judicially ratified in 2025, as part of its financial restructuring.

Nutriplant’s business model is centered on the development, production, and sale of high-tech micronutrients and special fertilizers, mainly aimed at plant nutrition. The company operates with a broad product portfolio for foliar, soil, fertigation and seed treatment applications, all registered with the Ministry of Agriculture and Livestock (MAPA) and approved by the Ministry of the Environment. According to the restructuring plan launched in 2012, management decided to discontinue in-house production of soil micronutrients, focusing efforts on products considered more profitable, such as foliar fertilizers, seed treatment products, soil conditioners, and application-technology items. The FTE brand, however, continues to be used through the resale of micronutrients for soil application, with the company purchasing products from third parties or contracting toll manufacturing services, preserving its historical presence in this category.

Nutriplant’s current portfolio covers liquid and solid foliar micronutrients, solutions for fertigation, products for seed treatment, and inputs specifically formulated for different crops. Among the main product lines, the highlights include Green Top, consisting of fully soluble liquid or solid fertilizers associated with chelating agents, designed to maximize nutrient uptake; Supremus, which offers formulations for balanced crop nutrition based on high-quality raw materials; Foskalium, a differentiated line of foliar fertilizers made from phosphorous acid; and Original Café, composed of foliar fertilizers developed especially for coffee crops, with nutrient concentrations tailored to the nutritional requirements of coffee trees. In addition to inputs for crops, the company supplies products for animal feed formulation, food-grade salts, and customized formulations developed to client specifications, as well as raw materials for industrial use.

Wholly owned subsidiary Quirios plays an important role in the group’s supply chain, producing inorganic specialties and raw materials primarily for the agricultural micronutrient and animal feed industries, as well as other industrial segments. Founded in 1965, Quirios has built a reputation associated with the quality of a portfolio of more than one hundred products, operating both in the development of industrial processes and in the construction and operation of manufacturing facilities for producing inorganic salts. The integration between Nutriplant and Quirios allows the company greater control over the quality and availability of certain critical inputs, even though the micronutrients segment remains exposed to price volatility in metal commodities such as zinc and copper, which are referenced to international quotations, especially on the London Metals Exchange.

Nutriplant operates mainly in Brazil, with no material revenue abroad, and relies on a distribution network that covers all regions of the country. This commercial capillarity is considered strategic in a fertilizers and micronutrients market strongly marked by seasonality, tied to the planting, growing, and harvesting cycles of the main crops. Sales tend to be concentrated in the grain planting season, mainly between September and December, although the expansion of second-crop corn acreage (milho safrinha) has historically helped reduce the concentration of demand in just a few months. The customer base is fragmented, with no significant concentration in a single buyer accounting for more than 10% of net revenue, which reinforces the distributed nature of its operations among cooperatives, resellers, and farmers connected to agribusiness.

Nutriplant’s operations are carried out in a strict regulatory environment, especially in environmental, health, and occupational safety matters. The company is subject to federal, state, and municipal legislation governing the emission and disposal of potentially hazardous materials, as well as the handling, storage, transportation, and use of chemical substances. The company must obtain and maintain specific licenses from government agencies, including the Environmental Company of the State of São Paulo (CETESB), and comply with MAPA and environmental authorities’ requirements regarding product registration and impact control. The company states that it operates in accordance with current environmental legislation and maintains pollution-control equipment and procedures, as well as practices focused on the health and safety of its employees. Regarding environmental, social, and governance (ESG) aspects, the company does not publish specific reports but says it guides its practices by regulatory compliance, the pursuit of efficiency in resource use, and waste reduction, aligning the development of its products with improving agricultural productivity and more rational use of cultivated areas.

As an issuer of common shares traded on B3 under the ticker NUTR3, Nutriplant is part of the universe of companies linked to the Brazilian agribusiness input chain, focusing on special fertilizers and chemicals for plant nutrition and animal feed. Management evaluates performance based on a single product line, reflecting the predominance of a core business focused on micronutrients and related formulations. In a sector influenced both by agricultural cycles and by fluctuations in international metal raw material prices and the exchange rate, the company combines industrial and distribution activities, positioning itself as a supplier of higher value-added chemical and nutritional solutions within Brazil’s fertilizer and micronutrient industry.
