Fundamental Analysis of NUTR3 (Nutriplant)

IA

Nutriplant (ticker NUTR3) operates in the Basic Materials sector, in the Chemicals subsector, with a focus on Fertilizers and Crop Protection. Created in 1979, the company develops, produces and sells specific agricultural fertilizers, mainly micronutrients, as well as soluble formulations, foliar products, organominerals and nutrients for animal feed. Its activity is directly linked to agribusiness, supplying inputs for different fertilization methods. Nutriplant’s shares are listed on B3.

The available financial fundamentals indicate relatively high profitability, with double-digit ROE and ROIC, suggesting reasonably efficient use of capital in a competitive segment such as fertilizers. Gross, EBIT and net margins are positive, although not very wide, which is common in industrial basic materials businesses. Recent five-year revenue and profit growth points to expansion in line with a more favorable cycle for the sector. Leverage, measured by Net Debt/EBITDA, is at a moderate level, while current and quick ratios suggest some short-term financial flexibility. These data must be interpreted together with the fact that the company is undergoing out-of-court reorganization.

Nutriplant received a 0.0 score on the Visno Score, mainly reflecting the low tradability of its shares, despite high scores in profitability and liquidity. This suggests that, even with relatively solid operating and financial indicators, trading volume and share dispersion on B3 are limited, which may affect the investor experience.

About Nutriplant

Nutriplant, traded on B3 under the ticker NUTR3, is a Brazilian company specialized in the manufacturing and commercialization of fertilizers, with a focus on micronutrients for agriculture. Established in 1979 by Frit Industries and Ferro Corporation, it was created with the purpose of producing specific agricultural fertilizers that would later become widely known as micronutrients. The industrial plant began operations in 1980 and was a pioneer in the production of soil micronutrients in Brazil, consolidating the FTE (Fritted Traced Elements) brand as a national benchmark for this type of product. Over the following decades, the company went through different cycles of expansion, changes of control and corporate restructurings, in step with technological evolution and the demands of Brazilian agribusiness.

During the 1980s and 1990s, Nutriplant significantly expanded its production capacity and its portfolio. After 1986, it began producing granulated micronutrients, strengthening the position of the FTE brand. In 1993, with Frit Industries taking over all the shares then held by Ferro Corporation, the company entered a phase of more intense product launches, with two new production lines: fully soluble fertilizers (FTS) and the Green Top line of foliar micronutrients. In 1995, it established a partnership with international producers of high-purity mineral salts, aiming to produce foliar formulations suitable for hydroponic applications and fertigation. In the following years, it incorporated new product families, including specific foliar formulations, an organomineral line, adjuvants and nutrients for animal feed, reflecting a diversification strategy within the segment of high value-added agricultural inputs.

Nutriplant’s ownership structure underwent significant changes starting in 2004, when Tripto, the current controlling shareholder, entered into an agreement to acquire corporate control, gradually taking over the majority of the capital. In 2007, Tripto came to hold 100% of the shares representing the company’s capital stock, consolidating control. In 2008, the company went public on the Bovespa Mais segment, issuing new shares, then traded under the code NUTR3M, raising funds for growth and modernization. Later, in 2012, it fully merged Quirios Produtos Químicos Ltda., which became a wholly owned subsidiary and added to the group the production of inorganic specialties and raw materials for various industrial segments. The company has also undergone capital adjustments, reverse stock splits and stock splits over time, and entered into an out-of-court reorganization process, whose plan was judicially ratified in 2025 as part of its financial restructuring.

Nutriplant’s business model is centered on the development, production and commercialization of high-tech micronutrients and specialty fertilizers, mainly aimed at plant nutrition. The company operates with a broad product portfolio for foliar, soil, fertigation and seed treatment applications, all registered with the Ministry of Agriculture and Livestock (MAPA) and approved by the Ministry of the Environment. In line with the restructuring plan initiated in 2012, management decided to discontinue in-house production of soil micronutrients, focusing efforts on products considered more profitable, such as foliar fertilizers, seed treatment products, soil conditioners and application technology items. The FTE brand, however, continues to be used through the resale of soil-applied micronutrients, with the company purchasing products from third parties or contracting toll manufacturing services, preserving its historical presence in this category.

Nutriplant’s current portfolio includes liquid and solid foliar micronutrients, solutions for fertigation, products for seed treatment and inputs formulated specifically for different crops. Among its main lines, Green Top stands out, consisting of fully soluble liquid or solid fertilizers associated with chelating agents, designed to maximize nutrient uptake; Supremus, which offers formulations for balanced crop nutrition based on high-quality raw materials; Foskalium, a differentiated line of foliar fertilizers made from phosphorous acid; and Original Café, consisting of foliar fertilizers developed especially for coffee crops, with nutrient concentrations tailored to the nutritional requirements of coffee plants. In addition to inputs for crops, the company supplies products aimed at animal feed formulations, food-grade salts and customized formulations developed to client specifications, as well as raw materials for industrial use.

Wholly owned subsidiary Quirios plays an important role in the group’s supply chain, producing inorganic specialties and raw materials destined mainly for the agricultural micronutrients and animal feed industries, as well as other industrial segments. Founded in 1965, Quirios has built a reputation associated with the quality of a portfolio of more than one hundred products, operating both in the development of industrial processes and in the construction and operation of manufacturing facilities for the production of inorganic salts. Integration between Nutriplant and Quirios allows the company greater control over the quality and availability of certain critical inputs, although the micronutrients segment remains exposed to price volatility in metal commodities such as zinc and copper, which are referenced to international quotations, especially on the London Metals Exchange.

Nutriplant operates mainly in Brazil, with no material revenue abroad, and has a distribution network that covers all regions of the country. This commercial capillarity is considered strategic in a fertilizer and micronutrient market strongly marked by seasonality, linked to the planting, growing and harvest cycles of key crops. Sales tend to be concentrated in the grain planting period, mainly between September and December, although the expansion of the off-season corn area has historically helped to reduce the concentration of demand in just a few months. The client base is diversified, with no significant concentration in a single buyer accounting for more than 10% of net revenue, which reinforces the distributed nature of its operations with cooperatives, resellers and agribusiness producers.

Nutriplant’s operations are subject to a strict regulatory environment, especially in environmental, health and occupational safety matters. The company is subject to federal, state and municipal legislation governing the emission and disposal of potentially hazardous materials, as well as the handling, storage, transport and use of chemical substances. The company must obtain and maintain specific licenses from government bodies, including the São Paulo State Environmental Company (CETESB), and comply with MAPA and environmental authority requirements related to product registration and impact control. The company states that it operates in compliance with current environmental legislation and maintains pollution control equipment and procedures, as well as practices focused on the health and safety of its employees. Regarding environmental, social and governance (ESG) aspects, the company does not publish specific reports but claims to guide its practices by regulatory compliance, the pursuit of efficiency in the use of resources and waste reduction, aligning the development of its products with improvements in agricultural productivity and more rational use of planted areas.

As an issuer of common shares traded on B3 under the ticker NUTR3, Nutriplant is part of the universe of companies linked to the agribusiness input chain, with a focus on specialty fertilizers and chemicals for plant nutrition and animal feed. Management assesses performance based on a single product line, reflecting the predominance of a core business focused on micronutrients and related formulations. In a sector influenced both by agricultural cycles and by fluctuations in international prices of metal raw materials and exchange rates, the company combines industrial and distribution activities, positioning itself as a supplier of higher value-added chemical and nutritional solutions within the fertilizer and micronutrient industry in Brazil.
