NextEra Energy (NEE) filed pro forma financial statements (a simulation of how the numbers would look if the transaction had already taken place) for its merger with Dominion Energy, based on data as of September 30, 2026. The total estimated consideration is $62.1 billion, consisting of $61.7 billion in NextEra shares and $360 million in cash. The merger is still subject to closing conditions, including regulatory approvals.

Each Dominion share will be converted into 0.8138 NextEra share, plus a proportional portion of $360 million in cash. About 738 million NextEra shares will be issued, calculated using the share price of $83.71 on October 30, 2026. A 10% change in that price would alter the consideration by about $6.2 billion, to $68.3 billion (increase) or $55.9 billion (decrease).

Preliminary goodwill is $35.7 billion, and combined total assets would be $402.1 billion, versus $245.1 billion for NextEra on a standalone basis. Combined long-term debt would be $145.1 billion.

For the nine months ended September 30, 2026, combined pro forma revenue would be $36.8 billion and net income attributable to NextEra would be $11.7 billion. Diluted earnings per share (EPS) would be $4.14, versus $4.82 in NextEra's historical figures. In 2025, pro forma diluted EPS would be $3.22, versus $3.30 historically.

The adjustments include customer bill credits of more than $2.25 billion, over 24 to 48 months after closing, and estimated transaction costs of about $500 million. NextEra has also committed to creating a $100 million workforce training fund in Virginia and to increasing donations by $10 million per year for at least 5 years. The amounts are preliminary and may change.
