Meta (META) completed on November 5, 2026 the issuance of US$ 15 bi in senior notes (bonds without specific collateral), divided into five series with maturities between 2031 and 2056. The offering was made under the debt securities shelf registration that the company already held with the SEC.
The series are: US$ 3.25 bi at 5.850% maturing in 2031; US$ 3.25 bi at 6.250% in 2033; US$ 4 bi at 6.550% in 2036; US$ 1.75 bi at 7.350% in 2046; and US$ 2.75 bi at 7.500% in 2056. The bookrunners for the transaction were Citigroup Global Markets and Morgan Stanley.
In the same filing, Meta reported that, on November 4, 2026, the underwriters (lead banks) fully exercised the option to purchase an additional 6 million Class A shares, as part of the share offering announced on October 26, 2026. The original offering was for 40 million Class A shares, with forward sale agreements with Morgan Stanley and Goldman Sachs.
With the exercise of the option, Meta entered into additional forward sale agreements for the 6 million shares, on terms substantially similar to those of the original agreements.
