Oncoclínicas do Brasil Serviços Médicos S.A. (ONCO3) reported in a material fact released this Wednesday, October 14, 2026, that the Board of Directors approved, at a meeting held on August 25, 2026, the creation of an Independent Special Committee to investigate acts related to the company’s previous management.
The committee, made up of members of the Board of Directors and the Chief Executive Officer, was tasked with coordinating investigations into related-party transactions and dealings with certain counterparties, integrity and compliance programs, executive expenses, corporate transactions, as well as contracts and investments carried out by Oncoclínicas.
According to the announcement, the Independent Special Committee is advised by Ernst & Young and the law firm Tozzini Freire Advogados. The investigations are ongoing and, as of the date of the material fact, the company had not received the committee’s conclusions.
Oncoclínicas also emphasized that the existence of these investigations does not, in and of itself, represent a judgment on the regularity of the acts under review or on the conduct of any individuals.
