Banco Pine (PINE4, PINE3) approved, in a Board of Directors meeting held on October 2, 2026, a share capital increase of R$ 3,343,023.04, within the limit of authorized capital, resulting from the exercise of PINE13 and PINE14 subscription warrants in the period from September 1 to 30, 2026.

The capital increase took place through the issuance of 438,220 new registered shares, of which 219,110 are common and 219,110 are preferred, all registered, book-entry and with no par value. This move results from the exercise of 47,752 2024 Subscription Warrants, at a price of R$ 8.86 per warrant, and 171,358 2025 Subscription Warrants, at a price of R$ 17.04 per warrant.

With the ratification, Banco Pine’s share capital increased to R$ 1,273,828,277.47, divided into 254,326,944 registered shares, of which 130,170,066 are common and 124,156,878 are preferred, all with no par value. The new common and preferred shares are identical to the existing ones and will fully participate in any dividends and/or Interest on Equity (JCP) that may be declared.

The crediting of the issued shares will take place on October 9, 2026, as reported by Banco Pine in its notice to shareholders.
