Porto Seguro (PSSA3) reported in a material fact notice this Friday, October 2, 2026, that its subsidiary Porto Serviço S.A. filed, on the same date, a request with the Brazilian Securities and Exchange Commission (CVM) to cancel its registration as a publicly held company, in the context of a corporate reorganization involving the group’s services vertical, with the aim of increasing synergy gains and scale for the companies involved.
According to the company, the delisting request has the consent of all holders of securities issued by Porto Serviço, also with the purpose of simplifying the process of implementing the corporate reorganization, without prejudice to the continued reassessment of a possible IPO of the subsidiary at an appropriate time.
Porto Seguro also stressed that the cancellation of Porto Serviço’s registration is subject to approval by the CVM, under the applicable regulations.
