On Monday, August 31, 2026, Suzano S.A. (SUZB3) reported that it has signed an agreement with Grupo Imetame to acquire a 10% stake in Imetame Logística Porto S.A., the company responsible for developing a greenfield port project under construction in the municipality of Aracruz, in the state of Espírito Santo.

Suzano’s stake in Imetame Logística will be formed through the contribution of company-owned land located in an area considered strategic for the project, with no impact on the operational or economic performance of Suzano’s Aracruz Unit, which is located in the same region.

The port hub is expected to begin general cargo operations in early 2027, in the first phase of the project. The container terminal, which will be a joint venture with a 50% stake held by Hanseatic Global Terminals (HGT), Hapag-Lloyd’s terminals division, is expected to start operating in mid-2028, with an estimated future capacity of approximately 1.2 million TEUs per year, 750 meters of quay, and state-of-the-art container handling equipment.

According to Suzano, the 17-meter depth will allow the terminal to receive large vessels, and the other terminals in the project (containers, general cargo, dry bulk, liquid bulk, and ship-to-ship operations) will be implemented in later stages, according to the development schedule.

The company estimates that the transaction does not represent a material investment in terms of its capital structure or its investment plan for the coming years and states that there are no capital expenditures (capex) planned for 2026 related to the stake in Imetame Logística. Closing of the transaction is still subject to the fulfillment of customary precedent conditions, including approval by the regulatory authority.
