Biomm (BIOM3) approved, in a Board of Directors meeting held on August 27, 2026, a private issuance of simple debentures (debt securities issued by companies) totaling R$ 88,300,002. The debentures will have a unit par value of R$ 6, a maturity of 2 years from the financial settlement date, monetary adjustment by the IPCA and compensatory interest of 5% per semester.
The debentures will be simple, non-convertible into shares and unsecured. Preemptive rights will be granted to Biomm shareholders for the subscription and payment of the securities, pursuant to the Brazilian Corporations Law. The debentures will be admitted to trading on the over-the-counter market and the subscription warrants will be admitted to trading on the stock exchange.
As an additional benefit, 2 subscription warrants will be granted for each debenture issued, with an exercise price of R$ 3 per warrant, adjusted by the IPCA. These warrants may be exercised after a period of up to 15 days has elapsed from the maturity of the debentures.
Alaska Investimentos Ltda., in its capacity as investment fund manager, has signed an investment commitment to subscribe and fully pay debentures, through entities of its economic group, in an amount equivalent to its preemptive right plus participation in all leftovers, including any residual leftovers, so as to guarantee the placement of the entire issuance.
Biomm also reported that it will call a general meeting of shareholders to deliberate on the increase of the company’s authorized capital, the ratification of the private issuance and of the work carried out by management, as well as the authorization for the performance of the other acts necessary for the transaction. The company emphasized that information on preemptive rights will be disclosed to shareholders in due course.
