Grupo SBF S.A. (SBFG3) reported in a material fact released this Friday, August 28, 2026, that Fisia Comércio de Produtos Esportivos S.A. has signed an amendment to the Distribution Agreement with Nike Global Trading B.V., originally executed on December 1, 2020. Under the amendment, the term of the agreement was extended until May 31, 2034.

The amendment also establishes a continuous renewal mechanism (rolling basis), under which the parties will meet annually to discuss extending the term of the Distribution Agreement for additional 1-year periods, through a formal extension instrument. According to the companies, this allows them to seek, each year, to lengthen the contractual horizon, providing predictability of approximately 7 years of validity, compared with about 5 years previously.

According to the release, the companies state that the amendment strengthens the long-term strategic partnership with Nike by providing greater predictability and contractual security, a renewal mechanism that enables the continuous extension of the commercial relationship, and strategic alignment for the sustainable development of the Nike product distribution operation in Brazil.

As previously disclosed in 2020, the transaction involves a partnership in which Fisia acts as the exclusive distributor of Nike products, including apparel, footwear, accessories and equipment, in Brazilian territory, as well as the exclusive operator of the retail e-commerce channel (www.nike.com.br). Fisia is also the main retailer of Nike physical stores in the country, responsible for sales to end consumers in Nike monobrand stores.
