Portobello (PTBL3) completed on August 14, 2026, after the market close, the signing of a purchase and sale agreement with Cerâmica Almeida Ltda. for the disposal of the Pointer business unit, including all operating assets, the brand, and other related intangible assets. According to the company, the transaction is aligned with its strategy to optimize its capital structure and strengthen the execution of its long-term plans.
The transaction was submitted for review by the Administrative Council for Economic Defense (CADE) on July 3, 2026, and was approved on August 10, 2026, after fulfillment of all precedent conditions, such as corporate and regulatory approvals and other contractual conditions customary for transactions of this type. On July 2, 2026, the company’s board of directors had authorized the executive management to proceed with the process of a potential sale of the assets and brand linked to the Pointer business unit to Cerâmica Almeida.
According to Portobello, the transaction amount, combined with the release of working capital allocated to the Pointer unit, will contribute directly to one of the company’s two strategic priorities for 2026: optimizing its capital structure while maintaining a focus on the pillars of integrated retail and international expansion.
The transition process is scheduled to start in early September 2026, when management of Pointer’s operations will be transferred to Cerâmica Almeida.
