Americanas (AMER3), which is under court-supervised reorganization, reported on Wednesday, October 7, 2026, the completion of another partial closing of the sale of assets related to 10 loss-making stores under the Hortifruti Natural da Terra banner in the State of São Paulo, as set out in a contract signed in 2026. In this phase, all the assets of 1 more store were sold, the fifth of the 10 HNT stores included in the agreement with Grupo Fartura de Hortifrut S.A. (Oba Hortifruti), under the contract that sets a total price of R$ 69.3 million.
As a result of this closing, Oba Hortifruti made a payment of R$ 1,875,000, equivalent to 18.038% of the total amount of the upfront tranche provided for in the transaction. From this amount, the M&A Cost Amounts (mergers and acquisitions costs, as defined in the company’s Judicial Reorganization Plan) were deducted, and the remaining balance was deposited into the M&A Payments Account for extraordinary amortization of the debentures of Americanas’ 22nd issue of non-convertible debentures.
According to the contract, the price owed for the assets in this closing, net of the upfront portion, will be paid in 24 equal and consecutive monthly installments, maturing on the 15th of each month, with the first installment due on the 15th of the month immediately following the applicable closing date, adjusted by the positive variation of the CDI from the closing date until payment.
Americanas stated that it continues to assess strategic opportunities aligned with its best interests and those of its stakeholders, and that it will keep the market informed about new developments related to the transaction.
