Transmissora Aliança de Energia Elétrica S.A. (Taesa) (TAEE3, TAEE4, TAEE11) completed this Wednesday, August 12, 2026, the acquisition of all the shares of Energisa Goiás Transmissora de Energia I, Energisa Pará Transmissora de Energia I, Energisa Pará Transmissora de Energia II, Energisa Tocantins Transmissora de Energia and Energisa Tocantins Transmissora de Energia II, in a transaction announced on May 21, 2026.

With the closing of the transaction in 2026, Taesa paid the sellers Energisa S.A. and Energisa Transmissão de Energia S.A. the amount of R$ 1,638,001,772.48. This amount results from a base price of R$ 1,545,000,000, with a base date of December 31, 2025, adjusted by the CDI rate through today’s date and adjusted as provided for in the contract and closing term, remaining subject to post-closing adjustments to be determined within up to 90 days.

The acquisition of the target companies adds to Taesa R$ 305 million in Allowed Annual Revenue (RAP) in the 2026–2027 cycle, already including PIS/COFINS, as well as 1,300 km of transmission lines and 4,494 MVA of transformation capacity. The assets have an average remaining contractual term of 22 years.

According to the material fact, the transaction is aligned with the company’s growth strategy, seeking transmission assets that generate synergies with current lines and extend Taesa’s average concession term, while observing the pillars of sustainable growth, financial discipline, operational efficiency and value creation for shareholders.
