Vale (VALE3) reported on Tuesday, July 21, 2026, that it received on July 20, 2026, Official Letter No. 196/2026 from the Brazilian Securities and Exchange Commission (CVM), regarding a shareholders’ inquiry about the Extraordinary General Meeting (EGM) called for July 22, 2026, at which the election of the Chairman of the Board of Directors will be addressed.

According to the company, the inquiry was submitted by Geração L. Par Fundo de Investimentos em Ações and Banco Clássico S.A., which are questioning matters related to the nomination and election of the board chairman at the EGM. The CVM stated that it will analyze the issue within the scope of a specific proceeding, but requested that Vale and shareholder Caixa de Previdência dos Funcionários do Banco do Brasil – Previ comment on the points raised.

In the letter, the CVM also asked Vale to inform the shareholders present at the July 22, 2026 EGM of the existence of the inquiry and set a deadline of July 30, 2026 for submission of the company’s and Previ’s statements, under penalty of a daily fine if there is no response.

Vale stated that it sent Previ a copy of the letter and the inquiry, received the shareholder’s statement, and submitted its own response to the CVM. The company disclosed to the market the full content of the CVM’s letter, the shareholders’ inquiry, its own statement, and Previ’s statement on the matter.
