About Investimentos BEMGE
Investimentos BEMGE S.A. is a publicly traded company with shares listed on B3 – Brasil, Bolsa, Balcão, under the tickers FIGE3 and FIGE4. The company traces its origins to 1964, when it was incorporated at a general meeting under the name Companhia Progresso de Goiás – Progoiás – Crédito, Financiamento e Investimento, in the city of Goiânia (GO), with initial share capital of CR$ 50,000.00. Its articles of incorporation were filed with the Board of Trade of the State of Goiás in January 1965, formalizing the start of its operations in what was then the credit, financing, and investment segment. Over time, the company underwent significant changes in control and headquarters, reflecting different phases of activity within the Brazilian financial system.
In April 1971, a group from Minas Gerais acquired control of Progoiás, which led to the opening of a branch in Belo Horizonte (MG) and the change of corporate name to PROGOIÁS S.A. – Crédito, Financiamento e Investimento. A few years later, in October 1974, control was transferred to Banco do Estado de Minas Gerais S.A. (BEMGE). At the same time, by resolution of an Extraordinary General Meeting, the head office was moved from Goiânia to Belo Horizonte, and the company was renamed FINANCEIRA BEMGE S/A – Crédito, Financiamento e Investimento. This period marks the company’s integration into the state banking system of Minas Gerais and its consolidation as a financial institution focused on credit and financing.
The corporate trajectory of today’s Investimentos BEMGE is also influenced by the privatization of BEMGE. On September 14, 1998, Financeira Bemge came to be indirectly controlled by Itaú Unibanco S.A., as a result of Itaú’s acquisition of control of Banco do Estado de Minas Gerais in a privatization auction held on the same date. This move placed the company within the Itaú Unibanco Holding S.A. group, a set of institutions that operate in an integrated manner in the Brazilian financial market. The issuer’s operations are conducted in this group context, under the coordination of the controlling holding company, which affects regulatory and governance aspects.
The most structural change in strategic positioning took place in 2001. At an Ordinary and Extraordinary General Meeting held on April 24, 2001, later ratified by the Central Bank of Brazil on July 18, 2001, a change in the company’s corporate purpose was approved. Financeira Bemge S.A. Crédito, Financiamento e Investimento ceased to operate as a traditional finance company and was transformed into an equity and real estate investment company, adopting its current corporate name, Investimentos Bemge S.A. Since then, the core nature of the business has been to hold interests in other companies and manage an investment portfolio, rather than directly granting credit to the public.
The corporate purpose described in the Reference Form indicates that the issuer’s objective is to support the companies in which it holds equity interests. This support is provided through studies, analyses, and recommendations on the operating policies and expansion projects of investees; through the mobilization of resources to meet additional risk capital needs; and through the subscription or acquisition of securities issued by these companies, with the aim of strengthening their position in the capital markets. In addition, Investimentos BEMGE may lease properties needed for the operations of investee companies and carry out related or ancillary activities of interest to these companies, except for those reserved to financial institutions regulated as such.
Although the company’s economic focus is on equity and real estate investments, the issuer states that, in the reference period, it has no typical operating activities underway that would justify the presentation of operating segments with specific products, production processes, or markets. There is no disclosure of revenue lines by segment, nor any description of production or distribution processes or market share, precisely because its activities are centered on holding and managing equity interests, and not on manufacturing or directly providing services to end clients. There is also no indication of material revenues abroad, and the issuer declares that it has no operations in other countries.
From a regulatory standpoint, Investimentos BEMGE is a publicly held company regulated by the Brazilian Securities and Exchange Commission (CVM), which is responsible for regulating, supervising, and enforcing rules in the Brazilian securities market, including derivatives, exchanges, and organized over-the-counter markets. Shares FIGE3 and FIGE4 were admitted to trading on B3 in July 1977, reinforcing the company’s long-standing presence in the Brazilian stock market. In addition to CVM oversight, the fact that it is indirectly controlled by Itaú Unibanco Holding S.A. means that certain regulatory requirements of the Central Bank of Brazil may also apply to the company, due to its integration into the financial conglomerate.
With regard to environmental, social, and governance (ESG) practices, the issuer states that it is subject to the Sustainability and Environmental and Social Responsibility Policy of its controlling shareholder, Itaú Unibanco Holding S.A., available on the group’s Investor Relations website. At the same time, Investimentos BEMGE reports that it has no activities that would justify producing its own ESG report with a materiality matrix, performance indicators, climate targets, or a greenhouse gas emissions inventory. In the political-institutional sphere, the company follows the group’s internal policy that prohibits electoral donations or financial contributions to candidates and political parties by legal entities, in line with Brazilian electoral law. The issuer also states that it has no expenses related to public policy advocacy, since any initiatives of this nature are handled on a consolidated basis by Itaú Unibanco Holding S.A.
For individual investors interested in FIGE3 and FIGE4 shares, this set of information indicates that Investimentos BEMGE essentially operates as a holding and investment structure within a larger financial conglomerate, with no material standalone operating activity, no direct end customers, and a focus on capital and equity asset management. The company is subject to the regulatory framework applicable to Brazilian publicly held corporations and to the sustainability, governance, and institutional relationship guidelines defined by its controlling shareholder, which shape its risk profile, obligations, and the way its activities fit into the local capital markets.
