Automob Participações S.A. is a company within the SIMPAR Group that brings together the group’s light and heavy vehicle, machinery and equipment dealership businesses. Originally incorporated in November 2019 under the name Vamos Comércio de Máquinas Linha Amarela S.A., the company was created with the purpose of organizing and consolidating, through subsidiaries, its activities in the sale and resale of trucks, tractors, machinery and equipment. The change in scope and scale occurred following a corporate reorganization involving Vamos Locação de Caminhões, Máquinas e Equipamentos S.A. and Automob S.A., culminating in the combination of the group’s dealership businesses. On November 27, 2024, the company obtained a category "A" publicly held company registration with the CVM and its shares, under the ticker AMOB3, began trading on B3 S.A. – Brasil, Bolsa, Balcão.

The transaction that consolidated Automob’s current profile was completed on December 31, 2024, with the merger of the former Automob S.A. into the holding company, unifying previously heavy-vehicle-focused businesses with the light-vehicle platform. The result was the formation of one of Brazil’s largest dealership groups in terms of physical network, covering light vehicles, trucks, buses, agricultural machinery and construction equipment. At the end of 2024, the company had a diversified network of 192 stores, consisting of 132 light-vehicle dealerships and 60 heavy-vehicle dealerships across different states. This corporate structure enabled scale gains, standardized management and stronger relationships with multiple global automakers, while preserving the independence of brands and dealership flags.

Automob’s business model is based on operating as a large multi-brand dealership group with a significant presence in both the light- and heavy-vehicle segments. The company and its subsidiaries sell new and pre-owned vehicles, passenger cars, light commercial vehicles and motorcycles, as well as trucks, tractors, agricultural machinery and construction equipment. Revenue comes from vehicle sales, pre-owned vehicle resale, the sale of parts and accessories, and after-sales services such as mechanical work, bodywork, painting, maintenance and repairs. In 2024, the light-vehicle segment accounted for 77.2% of consolidated net revenue, while the heavy-vehicle segment represented 22.8%, highlighting the economic predominance of light-vehicle operations within the portfolio. AMOB3 shares reflect this integrated automotive and equipment retail profile in the form of an operational dealership holding company traded on the Brazilian stock exchange.

In the light-vehicle business, Automob operates through several networks and banners, including Original Veículos, AR Motors, T-Drive, Euro Import, Autostar, Green Veículos, Alta, Best Points (groups H-Point, R-Point and Sonervig), Quality and SeuCarro.com. In December 2024, the company operated 132 light-vehicle dealerships representing 27 brands, including volume manufacturers, premium and luxury brands, and motorcycle brands. Original São Paulo is one of the largest Volkswagen networks in the country, with 30 dealerships that also include BYD, Citroën, Fiat, GWM, Jeep, Peugeot and RAM stores, as well as pre-owned outlets, all in the state of São Paulo. Original Maranhão, UAB Motors, Autostar, Grupo Green, Nova Quality, Alta and Best Point complement the platform with brands such as BMW, MINI, Volvo, Jaguar, Land Rover, Honda, Toyota, General Motors, Renault, Kia, Yamaha, Harley-Davidson, Triumph, KTM, Ford, among others, spread across São Paulo, Paraná, Santa Catarina and Maranhão. The SeuCarro.com operation specializes in pre-owned vehicle resale with 13 dedicated stores.

Automob’s heavy-vehicle segment comprises dealerships for trucks, buses, agricultural machinery and construction and handling equipment, operated by subsidiaries such as Transrio, Tietê Veículos, Vamos Comércio de Máquinas Agrícolas, Vamos Máquinas e Equipamentos, DHL Distribuidora de Peças e Serviços and HM Comércio e Manutenção de Empilhadeiras. As of December 2024, there were 60 heavy-vehicle stores representing five main brands: Komatsu, Valtra, HM, Fendt and Volkswagen. The Transrio and Tietê networks concentrate Volkswagen/MAN truck and bus operations, with 20 stores in states such as Rio Grande do Sul, São Paulo, Rio de Janeiro, Tocantins, Mato Grosso and Sergipe, focused on sales of new and pre-owned vehicles, parts and maintenance services. The Agromob vertical, with 34 Valtra and Fendt stores in Minas Gerais, Goiás, Mato Grosso, Mato Grosso do Sul and Paraná, is dedicated to tractors and agricultural machinery. Komatsu and HM dealerships, grouped under the Vamos Máquinas e Equipamentos operation, serve the heavy machinery market in states in Brazil’s Center-West region, while the Bomag brand was added to the portfolio of compaction equipment in 2024.

From an operational standpoint, Automob structures its businesses into two segments: heavy-vehicle dealerships and light-vehicle dealerships. At the light-vehicle stores, the company sells new and used vehicles, motorcycles and electric vehicles, and also offers parts, accessories, workshop services, bodywork and painting, armored-vehicle services, and brokerage of financing and insurance. In the heavy segment, dealerships sell new and pre-owned trucks, machinery and equipment, parts and accessories, as well as specialized maintenance services. In both areas, operations are working-capital- and inventory-intensive, requiring careful selection of the vehicle mix and the use of technology to optimize inventory turnover, pricing, productivity metrics and monetization of complementary services such as financing, insurance, consortia and after-sales. Indicators such as sales per salesperson, sales per store, days of inventory, workshop customer retention and average ticket for complementary products are monitored to measure performance by unit.

Relationships with automakers are governed by commercial dealership agreements that define brand exclusivity in certain territories, service standards, volumes and sales targets, technical support, training and commercial conditions. Automakers are generally responsible for institutional marketing and provide operational and financial support, including through subsidized credit lines and bonuses, while Automob maintains minimum inventories of vehicles and parts and operates the sales and service network. These contracts are essential to the company’s activities, as they allow the use of manufacturers’ brands, the sale of their products and the provision of authorized technical assistance. The company complements this structure with automotive repair centers and an armored-vehicle unit, broadening the range of services offered to the same customer base and reinforcing the recurrence of after-sales revenue.

Automob’s revenue is fully concentrated in the Brazilian market, with no revenue generated abroad through 2024, and it has a diversified customer base, with no single buyer accounting for more than 10% of net revenue. Its operations are subject to municipal, state and federal laws and regulations, requiring operating permits, safety reports, fire department inspection certificates, environmental licenses and other documents for each unit’s operations. The company states that it maintains the processes for obtaining and renewing these authorizations for all dealerships, under penalty of sanctions such as fines, shutdowns or license cancellations in case of non-compliance. On environmental and social matters, operations are subject to legislation on environmental protection, waste management and emissions, and to regulations related to human rights and responsibility for direct and indirect impacts along the value chain.

In terms of environmental, social and governance practices, Automob’s information is reported in the Integrated Annual Report of its parent company SIMPAR, prepared in accordance with international guidelines such as GRI, SASB, Integrated Reporting and TCFD and assured by an independent auditor. The report is based on a materiality matrix that includes topics such as financial balance and growth, people development and human rights, governance and transparency, customer relations, climate strategy and environmental management, health and safety, innovation and impact on communities and the value chain. SIMPAR prepares and discloses a greenhouse gas emissions inventory based on the GHG Protocol, maintaining a Gold seal for transparency in the Public Emissions Registry since 2019. As a subsidiary, Automob is included in this reporting system, which affects the management of climate, environmental, social and governance risks in running the automotive dealership businesses reflected in AMOB3 shares listed on B3.
