On Wednesday, October 14, 2026, C&A Modas (CEAB3) approved at a meeting of its board of directors the 5th issuance of simple, non-convertible, unsecured debentures (debt securities), in a single series, in the amount of R$ 500,000,000, maturing on October 15, 2029. The debentures will be remunerated based on interest corresponding to 100% of the DI Rate, plus an exponential spread (surcharge) capped at 0.80% per year on their unit value.

According to the company, the funds will be fully allocated to the optional full early redemption of the debentures from the 3rd issuance, with the goal of extending the average maturity and reducing the average cost of debt. The issuance will be publicly distributed under the automatic registration procedure, with firm commitment underwriting, and will be offered exclusively to professional investors, pursuant to CVM Resolution No. 160 of July 13, 2022.
