On Wednesday, October 7, 2026, Axia Energia (AXIA3) provided details on the tax treatment of the redemption of class C preferred shares (PNC), whose value will be equivalent to the closing price of the company’s common shares on October 6, 2026, of R$ 59.48 per share. The shareholding position at the close of October 8, 2026 will be considered as the record date, and payment will be made in Brazilian currency, in a single installment, on October 26, 2026.

For holders of American Depositary Receipts (ADRs), the redemption payment will be made within up to seven business days after the credit to the holders of PNC shares traded on B3 S.A. – Brasil, Bolsa, Balcão (B3).

For investors resident in Brazil, the company informs that any gains obtained from the redemption of PNC shares may be subject to income tax and other taxes, in accordance with the rules applicable to each investor category, and it is the investors’ responsibility to consult their advisors and pay the taxes due.

For non-resident investors, Axia Energia may withhold part of the amount due, corresponding to the Withholding Income Tax (IRRF) levied on any capital gain, calculated by the positive difference between the redemption value per share and the acquisition cost of the PNC. The reported rates are 15%, from 15% to 22.5%, or 25% for shareholders residing in countries or territories with favorable taxation, and the IRRF withheld will be deducted from the amount payable.

Non-resident shareholders must send, by 6:00 p.m. on October 15, 2026, a spreadsheet in Excel format, according to the template in Annex I of the notice to shareholders, to the e-mail [email protected], with supporting documentation for the acquisition cost and, if applicable, for exemption or reduced rate. The company will use this information exclusively to calculate the capital gain and, if it is not sent within the deadline, it will consider an acquisition cost of R$ 0.00 and apply a 25% rate for investors who do not provide their country or tax domicile.
