On Thursday, October 1, 2026, Simpar (SIMH3) reported that its wholly owned subsidiary CS Brasil Holding e Locação S.A. settled Synthetic Agreements referenced to the shares of its subsidiaries (Total Return Swaps) dated December 22, 2023 and, as a result, acquired 13,149,900 common shares of JSL S.A., 28,922,000 common shares of Movida Participações S.A., 57,828,000 common shares of Vamos Locação de Caminhões, Máquinas e Equipamentos S.A., and 1,331,615 common shares of Automob Participações S.A. In this move, Simpar’s economic exposure to its subsidiaries remained unchanged.

The company highlighted that the settlement of the transactions is part of the renegotiation of their renewal and that, on the same date, the board of directors approved the execution by CS Brasil Holding of new Synthetic Agreements referenced to the subsidiaries’ shares, which will be disclosed to the market once concluded.

According to Simpar, after the completion and settlement of the new transaction, the subsidiaries’ shares will remain fully under the control of CS Brasil Holding, so that the company’s economic exposure to the subsidiaries’ shares will remain the same and the control of the companies has not been, and will not be, changed.
