Fleury (FLRY3) reported that it completed, on Thursday, October 1, 2026, the acquisition of 100% of the quotas of Unilab Laboratório Clínico Ltda., Marcio Gustavo Lacerda Batista Ltda. and Cintia Mara Ribeiro Nascimento Batista Ltda. The acquisition price is R$ 55 million (Enterprise Value), subject to adjustments and withholdings provided for in the contract.
The acquired companies operate in clinical and laboratory testing services in the municipalities of Atibaia, Bragança Paulista, Itatiba, Jarinu, Bom Jesus dos Perdões, Aparecida, Pindamonhangaba and Piracaia, in the state of São Paulo, and in Extrema, in the state of Minas Gerais. The combined gross operating revenue for the last 12 months ended May 2026 reached R$ 65 million.
According to the release, the transaction reflects a multiple of 0.85x EV/Gross Revenue for the last 12 months, 4.3x EV/EBITDA (earnings before interest, taxes, depreciation and amortization) for the last 12 months, falling to 3.5x EV/EBITDA for the last 12 months when synergies are taken into account.
The acquisition was approved by Fleury’s Board of Directors on October 1, 2026 and will not require a resolution at a shareholders’ meeting, nor will it grant withdrawal rights to shareholders.
