Ambipar (AMBP3) and Environmental ESG reported that, on September 28, 2026, the United States Bankruptcy Court for the Southern District of Texas, Houston Division, recognized the judicial recovery pending before the 3rd Corporate Court of the Judicial District of the Capital of the State of Rio de Janeiro as the foreign main proceeding in the Chapter 15 cases and, in the same decision, stayed the Chapter 11 case of Ambipar Emergency Response, rejecting the objections that had been filed. The US court held that the Rio de Janeiro judicial recovery court is competent and stated that the stay of the Chapter 11 proceeding promotes cooperation with that court.
With this measure, the group moves forward in the transition from Chapter 11 to Chapter 15, favoring coordinated management of the restructuring between Brazil and the United States, with the judicial recovery pending in Rio de Janeiro as its central axis. The recognition proceedings under Chapter 15 were filed on July 9, 2026 and granted with respect to the companies in judicial recovery and certain subsidiaries, with the purpose of recognizing the Brazilian judicial recovery and, at a later stage, the related plan, once approved in Brazil.
The decision ordered the stay of the Chapter 11 case, whose dismissal must be requested after the final decision (Final Order) of the US court in the Chapter 15 proceedings recognizing the judicial recovery plan; until then, the proceeding remains stayed. This development is part of the implementation of the Restructuring Support Agreement, disclosed on July 8, 2026, entered into with certain holders of Green Notes, which sets out the main terms of the restructuring of the Ambipar Group’s indebtedness, to be implemented mainly through the judicial recovery plan in Brazil.
The judicial recovery was filed on October 20, 2025 before the 3rd Corporate Court of the Judicial District of the Capital of the State of Rio de Janeiro, with the processing granted on October 30, 2025. On the same date it was filed, the subsidiary Ambipar Emergency Response commenced the Chapter 11 proceeding before the US court in the Southern District of Texas, Houston Division.
The Ambipar Group also reported that it is maintaining its operations as normal and continues to provide services in all of its segments, and that it will keep its shareholders and the market informed about developments in the restructuring.
