Cruzeiro do Sul Educacional (CSED3) reported in a material fact released on Wednesday, September 9, 2026, that it received from B3 the automatic extension, until December 31, 2027, of the authorization to temporarily keep its number of shares in circulation below the level set out in the Novo Mercado Rules. The authorization allows the company to keep in free float at least shares representing 12.39% of its share capital until the minimum required level is restored.
According to the announcement, if the number of shares in circulation exceeds the 12.39% threshold at any time during the period granted by B3, any new reduction of this percentage will not be allowed. Cruzeiro do Sul Educacional also stated that it will continue to comply with the measures required and already implemented as a counterpart to the previous extraordinary authorizations mentioned in the material facts dated July 31, 2022, August 15, 2023, June 17, 2024, and June 3, 2025.
