Cruzeiro do Sul Educacional (CSED3) reported in a notice on Monday, August 31, 2026, that it received a letter from D2HFP Fundo de Investimento Financeiro em Ações questioning the candidacy of Eduardo Luiz Wurzmann to the Board of Directors in the election to be decided at the Extraordinary General Meeting scheduled for September 1, 2026, on the grounds that he would hold a position at a competitor of the company by serving on the Board of Trustees of Sociedade Beneficente Israelita Brasileira Hospital Albert Einstein, which maintains Faculdade Einstein.
According to the notice, after being contacted by the company, Eduardo Luiz Wurzmann clarified that the Einstein Board of Trustees, of which he is one of 180 members, does not involve operational management, business conduct, or decisions of a competitive or commercial nature for Einstein or Faculdade Einstein, and stated that the existence of complementary educational activity within a philanthropic hospital entity does not make it a competitor of one of the largest education companies in the country.
Cruzeiro do Sul Educacional also reported that the candidate reaffirmed his independence and lack of impediments, on the basis of which the Board of Directors approved the call of the meeting to deliberate on his election, and that the Executive Board, after analyzing the matter, reached the same conclusion as the Board of Directors, namely that Einstein does not compete and has no potential to compete with the company.
