Viveo (VVEO3), the trading name of CM Hospitalar S.A., reported that in the capital increase approved on June 26, 2026, 700,381,129 common shares were subscribed during the preemptive rights period, which ended on August 31, 2026, at an issue price of R$ 0.90 per share, totaling R$ 630,343,016.10, equivalent to 72.47% of the maximum amount planned of up to R$ 869,761,072.80.
The subscribed amount exceeds the required minimum subscription of 474,444,722 shares, equivalent to R$ 427,000,249.80, a condition necessary for the approval of the capital increase even if only partially subscribed. A total of 266,020,063 shares remained unsubscribed, representing 27.53% of all shares available in the offering, and will be treated as leftovers.
Shareholders who, at the time of subscription, requested a reservation of leftovers may subscribe additional shares corresponding to 54.04423738584% of the total shares they subscribed during the preemptive period; that is, each subscribed share entitles the holder to subscribe 0.5404423738584 additional share, with fractions disregarded. These shareholders may also request additional leftovers, which will be apportioned among interested parties if, after the proportional subscription, there are still unsubscribed shares.
The period for exercising the right to subscribe leftovers and request additional leftovers will run from September 9 to 16, 2026. Any remaining shares after the completion of the leftover rounds will not be sold in an exchange auction, since the minimum subscription has already been reached and the capital increase may be approved on a partial basis. Once the leftover rounds are completed, the board of directors will be convened to approve the capital increase.
The subscription receipts relating to the shares already subscribed will be credited to investors in accordance with the procedures of B3 and Itaú Corretora de Valores S.A., and may be traded under the ticker VVEO9. The shares resulting from the subscription of leftovers will be issued and credited to the respective subscribers within up to three business days after the approval of the capital increase by the board of directors.
