Grupo GPS (GGPS3) completed, this Wednesday, September 2, 2026, the acquisition of 65% of the quotas of the companies that make up Grupo Aster, further to the material fact disclosed on July 1, 2026. The transaction was carried out by Graber Segurança Ltda., a subsidiary of GPS Participações e Empreendimentos S.A.

Sixty-five percent of the quotas of Aster Facilities Ltda., Aster Participações Ltda., Aster Sistemas de Segurança Ltda., Aster Sistemas de Serviços Ltda. and Asterseg Eletrônica Ltda. were acquired, after all applicable actions were taken, including fulfillment of the precedent conditions to which the acquisition was subject.
