Banco Santander Brasil (SANB11) reported in a statement on Monday, August 31, 2026, that its controlling shareholder, Banco Santander, S.A., is moving forward with the preparation of voluntary public exchange tender offers (OPAs) in Brazil and the United States, within the context of the material fact disclosed on July 30, 2026, with completion expected in the first half of 2027.

According to the bank, the controlling shareholder is preparing, together with external advisors, the documents required for filing the exchange offers, registering Banco Santander as a foreign issuer in Brazil and listing Banco Santander’s BDRs (Brazilian Depositary Receipts) on B3, and expects to submit these filings in the coming weeks.

The statement emphasizes that, as per the Q&A released on August 14, 2026, the procedures and timelines for participating in the exchange offers will be detailed in due course in the offer documents. The launch and completion of the offers are subject to applicable regulatory approvals, approval by Banco Santander’s general shareholders’ meeting of the corresponding capital increase, and the absence of a material adverse effect.

The company also advises Santander Brasil shareholders to verify and keep their registration data up to date with the registrar or custodian institutions and to use only official service channels.
