Natura (NATU3) reported that on August 27, 2026, it entered into a shareholders’ agreement with Lotus Fundo de Investimento em Participações Multiestratégia – Responsabilidade Limitada, a vehicle managed by Advent International, and signed an amendment to the existing shareholders’ agreement among the controlling blocs to align it with the terms of the new agreement with the investor.

According to the company, execution of the agreements began and was completed on the same date, after an Extraordinary General Meeting approved a waiver of the obligation to carry out a tender offer (OPA) in favor of the investor, as provided for in Article 33 of the Bylaws. The waiver was conditioned on the investor’s stake and that of related entities not reaching or exceeding the maximum percentage defined in the bylaws for a significant shareholder.

At the Extraordinary General Meeting held at 1:00 p.m. on the same day, shareholders approved an amendment to the Bylaws so that the Board of Directors will have between 7 and 10 members, setting the number of members at 10 for the current term. Juan Pablo Zucchini and Rafael Patury Carneiro Leão were also elected to serve on the unified term of the Board of Directors currently in effect.

Natura also announced an amendment to paragraph 1 of Article 25 of the Bylaws to provide that the Audit Committee will be coordinated by an independent member, in addition to the consolidation of the Bylaws and the approval of a Stock Option or Share Subscription Grant Program of the Company.
