On Tuesday, August 25, 2026, Hapvida Participações e Investimentos S.A. (HAPV3) reported that it approved the use of up to R$ 250 million for the buyback of debentures (debt securities issued by the company itself) and the early settlement of a hedge transaction, resulting in a R$ 322.6 million reduction in the company’s gross debt after transactions carried out at a discount.
On August 20, 2026, the company early settled a swap contract that, on the settlement date, had a market value of R$ 128.7 million. The transaction was executed with a 23% discount on the amount paid, generating a positive impact of R$ 29.6 million.
On August 14, 2026, Hapvida’s board of directors approved the optional acquisition of debentures of its own issuance, in an amount of up to R$ 150 million. By August 25, 2026, the company had acquired 185,355 debentures, with an updated nominal value of R$ 193.9 million, through a cash outlay of R$ 149.9 million, also at a 23% discount.
According to the annex to the notice, the buyback authorization does not set a limit on the number of debentures, but rather on the amount, up to R$ 150 million, of which R$ 149.9 million had already been used by August 25, 2026. The acquired debentures are held in treasury and may be cancelled, kept in treasury, or resold in the market, at the company’s discretion, and the purchases are made at market prices, without payment of a premium, with Banco Santander (Brasil) S.A. acting as intermediary.
