On Monday, August 17, 2026, CSU Digital (CSUD3) reported that it had received a request from minority shareholders holding common shares representing 4.46% of the share capital to call an Extraordinary General Meeting (EGM). The meeting will decide, in a separate vote, on the election of a full member and respective alternate to the company’s Fiscal Council, replacing the representatives of minority shareholders holding common shares who were elected at the meeting held on April 30, 2026.
CSU Digital’s Board of Directors met on the same date to evaluate the minority shareholders’ request and approved the call of the EGM, in fulfillment of its fiduciary duties. According to correspondence sent by the investment clubs Padova and Verona, which signed the request and jointly hold 4.46% of the share capital, the minority shareholder base changed after the April meeting, and the current group is requesting that the Fiscal Council reflect this new shareholder composition.
The Extraordinary General Meeting will be held on September 21, 2026, at 10:00 a.m., in person, at the company’s headquarters. CSU Digital shareholders may exercise their voting rights remotely via a voting ballot, in accordance with CVM Resolution No. 81 of 2022.
