On Thursday, August 13, 2026, Axia Energia (AXIA3) reported that it completed the subscription and payment of convertible debentures into shares (debt securities that can be converted into shares) issued by Eletronuclear S.A., in the amount of R$ 1.5 bn, as a follow-up to material facts disclosed on February 28 and October 15, 2025.

According to the company, the subscription stems from an obligation set forth in a settlement agreement entered into between Axia Energia and the Federal Government and ratified by the Federal Supreme Court, which established the issuance by Eletronuclear of convertible debentures into shares in the total amount of R$ 2.4 bn. These funds are intended exclusively to finance the project to extend the useful life of the Angra 1 Nuclear Power Plant.

The remaining amount of the issuance will be paid in over the course of the execution of the investments planned in the Long-Term Operation Program (“LTO”) for Angra 1, as the conditions precedent are met. Axia Energia stated that it will keep the market informed of any developments related to the completion of the transaction.
