On Wednesday, August 5, 2026, Brava Energia (BRAV3) reported that Ecopetrol Investimentos do Brasil Ltda., a wholly owned subsidiary of Ecopetrol S.A., carried out the auction of the company’s tender offer (Oferta Pública de Aquisição de Ações – OPA), after all precedent conditions and applicable regulatory requirements were met.

As a result of the auction, Ecopetrol acquired 116,110,717 common shares issued by Brava Energia, equivalent to approximately 25% of the share capital. The price set in the tender offer notice was R$ 23.00 per share, totaling R$ 2,670,546,491, an amount that will be disbursed by the bidder.

The company reported that the financial settlement of the acquisitions made in the auction will take place on August 17, 2026. After this step, Ecopetrol will hold 236,924,207 common shares of Brava Energia, corresponding to 51% of the share capital.

Brava Energia also stressed that it will continue to inform its shareholders and the market about new developments related to the tender offer, including any communications from the bidder, in accordance with current laws and regulations.
