REVEE S.A. is a Brazilian company focused on managing equity interests and developing entertainment and event assets. Its common shares are traded on B3 under the ticker RVEE3, listed on the Novo Mercado segment. The company was originally incorporated on October 20, 2023, as Redevco 03 Participações Ltda., in São Paulo, as a limited liability company. On February 23, 2024, it underwent a corporate reorganization to become a corporation (sociedade por ações) and adopted the corporate name REVEE S.A., a move that marked the beginning of its trajectory as a publicly held company in the process of structuring its governance and accessing the capital markets. Subsequently, it obtained registration as a securities issuer with the Brazilian Securities and Exchange Commission (CVM), initially in category B in September 2024, which was converted to category A in January 2025, enabling the trading of its shares on the stock market.

The listing of REVEE S.A. on B3 was made possible in April 2025, when the exchange approved the company’s request for listing and admission to trading of its shares on the Novo Mercado. Since then, the company’s shares have been traded under the code RVEE3 and the trading name REVEE, placing the company among Brazilian publicly traded companies focused on consolidating businesses in the live entertainment segment, management of multi-purpose venues and event organization. The regulatory evolution, both with CVM and B3, accompanies a process of corporate reconfiguration and expansion of the corporate purpose, which repositioned the company from an investment vehicle to a holding company focused on operational assets related to concessions for event venues and arenas.

The corporate purpose of REVEE S.A. combines its role as a holding company with operational activities related to entertainment and management of event spaces. The company may hold interests in other companies, domestic or foreign, as a partner, shareholder or quota holder, in addition to managing and administering the resources of its subsidiaries. On the operational front, the scope includes conducting entertainment activities for the general public, with or without live music, shows and the use of sound equipment, as well as the exploitation, organization and promotion of fairs, auctions, conventions, conferences and commercial and professional exhibitions. Complementing this focus are the management of exhibition spaces for third-party use and the organization of parties and events, including family events and graduation parties.

As of April 2025, with the implementation of a corporate reorganization involving Reag Investimentos S.A., REVEE S.A. consolidated itself as a holding company with equity stakes in operating companies linked to concessions for entertainment and event spaces. Prior to December 31, 2024, the company did not yet hold these interests and therefore did not record revenues from products or services or operational results. Its current profile, however, is anchored in subsidiaries that operate public-use concessions for large cultural and entertainment facilities, which tends to direct future revenue generation toward the economic exploitation of multi-purpose arenas, convention centers and large event spaces.

Among REVEE S.A.’s main subsidiaries are Nova Fonte Luminosa S.A. and Nova Serraria SPE S.A., both structured with the specific purpose of exploiting concessions for the use of public facilities. Nova Fonte Luminosa is responsible for exercising the rights and fulfilling the obligations arising from a concession contract entered into with the Municipality of Araraquara, in the interior of São Paulo State, relating to the Complexo Arena da Fonte Luminosa, also called Distrito Revee. This 35-year concession covers the modernization, restoration, management, operation, exploitation and maintenance of a versatile entertainment megacomplex, which includes a pavilion for fairs and exhibitions, an amphitheater, a convention center, a sports arena, a multi-purpose arena and a large outdoor area, capable of hosting sports, artistic, cultural and corporate events.

Nova Serraria SPE S.A., in turn, is the subsidiary dedicated to operating the Onerous Concession of Use of Serraria Souza Pinto, in Belo Horizonte, granted by Fundação Clóvis Salgado for a 20-year term. The asset consists of a historic building constructed in 1912, part of the protected architectural and landscape ensemble at Praça Rui Barbosa, which functions as a venue for large events, fairs, conferences and festivals, currently with capacity for thousands of people, depending on the configuration of the space. The operation of this concession seeks to enhance the cultural and tourist vocation of downtown Belo Horizonte and is part of REVEE S.A.’s strategy to operate in the management of cultural facilities of regional relevance, connecting historical heritage, contemporary use and monetization through medium- and large-scale events.

From a geographic standpoint, REVEE S.A.’s current operations are concentrated in Brazil, in assets located in Araraquara, in the interior of São Paulo State, and in Belo Horizonte, the capital of Minas Gerais. The company’s activities are focused on the domestic market for entertainment, corporate events and fairs, with no recorded revenues abroad as of the last reported fiscal year. The business model is intrinsically tied to concession contracts for the use of public assets, executed with municipal entities or foundations linked to the public authorities, which implies long-term contractual relationships, investments in infrastructure modernization and commercial exploitation based on cultural programming and events.

From a regulatory perspective, REVEE S.A. does not require specific government authorizations to operate as a holding company, but its live entertainment activities and operation of event spaces are subject to federal, state and municipal laws related to construction, operation, safety and licensing. This includes licenses and permits typically required for entertainment venues, arenas and large-capacity spaces, covering safety, accessibility, noise control, operating permits and requirements imposed by local public agencies. Additionally, because it operates through public concessions, REVEE S.A.’s subsidiaries must comply with the contractual clauses of the bidding notices and maintain ongoing relationships with the granting public authorities.

Regarding environmental, social and governance (ESG) practices, REVEE S.A. approved an ESG Policy in February 2024, which guides its internal guidelines on the subject. The company’s activities are characterized as having low direct environmental impact and, to date, there has been no formal adherence to international environmental protection standards nor the preparation of greenhouse gas emissions inventories. The company states that it is in the process of gradually implementing its policy, and has not yet released an annual sustainability report or materiality matrix. In the social and governance arena, the company indicates its intention to align its practices with the UN Sustainable Development Goals and adopts a stance of not making financial contributions to political parties, candidates or activities aimed at influencing public policy, reinforcing a position of transparency and regulatory compliance in its relationship with the public sector and the capital markets.
