On Wednesday, October 14, 2026, Telefônica Brasil (VIVT3) approved the declaration of Interest on Own Capital (IOC, Juros sobre Capital Próprio) in the gross amount of R$ 450,000,000, based on the balance sheet as of September 30, 2026. The gross amount per share is R$ 0.14081834570, subject to withholding income tax at a rate of 17.5%, resulting in a net amount per share of R$ 0.11617513520 and an estimated total net amount of R$ 371,250,000.
The IOC will be imputed to the mandatory dividend for the fiscal year ending December 31, 2026, ad referendum of the 2027 Annual General Meeting. Shareholders of record at the close of business on October 26, 2026 will be entitled to the distribution, and as of that date the shares will trade "ex-interest".
Payment of the IOC will be made by April 30, 2027, on a date to be defined by the Company’s Executive Board. The per-share amounts may be adjusted according to the shareholder base on October 26, 2026, depending on any share purchases carried out under the current Share Buyback Program. In the event of buybacks, Telefônica Brasil will release a new notice with the recalculated per-share amount; if there are no buybacks, the amounts in this notice will remain valid.
Shareholders subject to a differentiated withholding income tax regime, based on international agreements and treaties, as well as shareholders that are tax-immune or tax-exempt, must provide evidence of this status by November 3, 2026 to the Shares and Custody Department of Banco Bradesco, the depository institution for the book-entry shares.
