On Tuesday, October 6, 2026, Dexco S.A. (DXCO3) reported that it has called an extraordinary general meeting for October 26, 2026, at 11 a.m., to be held exclusively online, to resolve on the partial spin-off of Duratex Florestal Ltda. and the incorporation by Dexco of the spun-off net assets, consisting of forest assets and real estate.
According to the company, the transaction aims to transfer Duratex Florestal’s forest assets and real estate to Dexco for use in its operations and to raise investments, increasing the financial return on these assets and enhancing administrative and operational efficiency.
The meeting will also resolve on amendments to Dexco’s bylaws, including an increase in the limit of the authorized capital, as detailed in the management proposal for the EGM released on the same date.
The completion of the partial spin-off is subject to approval by Dexco’s EGM and by Duratex Florestal’s shareholder. As Duratex Florestal is a wholly owned subsidiary of Dexco, the transaction will not result in any change to Dexco’s share capital, the issuance of new shares, or dilution of current shareholders.
