On Monday, October 5, 2026, Smart Fit (SMFT3) reported that on October 4, 2026 it entered into an agreement for the acquisition and subscription of common shares of Buddha Wellness Group Brasil S.A. (Buddha Spa), under which it may acquire an ownership interest of up to 20% of the company’s total and voting capital, with an investment of up to R$ 32 million.

According to the company, the transaction is aligned with its strategy to expand its presence in the health and wellness segment and to strengthen its ecosystem with complementary services. Buddha Spa is described as the largest spa chain in Brazil, with 149 units in 12 states, 96% of which are franchised, offering massages, day spa services, facial therapies and aesthetic treatments.

The final size of the stake and the purchase price will depend on the fulfillment of commercial conditions set out in the agreement. At closing, a shareholders’ agreement will be executed addressing, among other matters, the company’s governance and a call option granted to Grupo Smart Fit on shares representing 10% of the total and voting capital of Buddha Spa, which may increase the stake to up to 30%.

The closing of the transaction is still subject to the fulfillment of customary precedent conditions for deals of this type. Smart Fit stated that it will keep its shareholders and the market informed of any new developments related to the transaction.
