Tupy S.A. (TUPY3) reported in a material fact released this Monday, September 28, 2026, that the Board of Directors has approved changes to the company’s management, including the resignation of the chairman of the board, possible changes to the chairmanship of the body at an Extraordinary General Meeting, and adjustments to executive vice presidencies.
On the Board of Directors, the body took note of the resignation letter submitted by Mr. Jaime Luiz Kalsing from his positions as member and chairman of the board, for personal reasons, effective within up to 60 days or until his successor elected at the Extraordinary General Meeting takes office, whichever occurs first. The board expressed its intention to appoint him as an external member of the Strategy, Innovation and Sustainability Committee (CEISus), subject to the assessment of applicable requirements.
As part of the succession process, the board intends to nominate Mr. Gueitiro Matsuo Genso, current Executive Vice President of Strategy, New Business, Innovation and M&A, as a candidate for member of the Board of Directors and, if elected at the Extraordinary General Meeting, for the position of chairman of the body. He will remain in his executive role until any such election and must resign from the Executive Vice Presidency before taking office as a board member, if elected.
The board will in due course convene an Extraordinary General Meeting to deliberate, on the same date, on a proposal to amend the Bylaws, including eligibility criteria for members of the board and the executive committee, and on the election of Mr. Gueitiro to the board and, if approved, to the chairmanship of the body. The nomination will be previously assessed in light of the proposed criteria, which will be submitted to shareholders at the same meeting.
In the executive committee and management structure, the board approved the consensual and early termination of the term of office of Mr. Ricardo Sendim Fioramonte as Executive Vice President of Sales, effective as of October 1, 2026, with him remaining at Tupy to support commercial negotiations and the transition of responsibilities. To succeed him, Mr. Cristian Malevic, current Vice President of the Energy and Decarbonization unit, was elected to the position of Executive Vice President of Sales, also as of October 1, 2026. As a result, Mr. Durval Graça Junior, from the Engineering and Products Executive Office, will temporarily assume leadership of the Energy and Decarbonization unit.
Further to the announcement of September 24, 2026 regarding the resignation of Mr. Toni Marcelo Zampieri Bueno from the position of Executive Vice President of Procurement and Logistics, effective October 1, 2026, the board approved that Mr. Luciano Boiko, current Vice President of Operations, will temporarily assume responsibility for Procurement, Logistics and Sales & Operations Planning (S&OP). The board also supported the ongoing evaluation of a new macro organizational structure aimed at integrating key business processes and providing greater clarity regarding executive responsibilities.
