Paranapanema (PMAM3), which is under court-supervised reorganization, approved at a meeting of the Board of Directors this Wednesday, September 9, 2026, a share capital increase of R$ 2,700,000.00 through the issuance of 18,000,000 new common, book-entry shares with no par value. The increase results from the partial conversion of debentures from the 8th issuance into shares, as provided for in the indenture of the issuance.
With the increase, Paranapanema’s share capital rose to R$ 2,362,059,519.65, divided into 324,794,953 common, book-entry shares with no par value. The conversion price applied was R$ 0.15 per share, established in accordance with the methodology set forth in clause 6.11 of the indenture of the 8th debenture issuance.
The newly issued shares will be fully entitled to all benefits attributed to the company’s existing shares, including dividends, interest on equity (Juros sobre Capital Próprio), bonus shares and any capital remuneration that may be declared from the date the capital increase is ratified.
