In the context of the Board of Directors’ deliberation on September 4, 2026, OranjeBTC (OBTC3) approved the cancellation, without a reduction of capital stock, of 22,000,000 common shares (ON) and 3,000,000 redeemable class A preferred shares (PN A) held in treasury, and established a new share trading plan for its own issuance encompassing ON and PN A, with a maximum term of 18 months for settlement of repurchases starting on September 4, 2026.

After the cancellation, the company’s capital stock will be represented by 146,608,200 ON, 146,005,500 PN A and 40 class B preferred shares, with 556,767 ON and 10,701,500 PN A remaining in treasury, and no class B preferred shares in treasury. The number of shares outstanding is 124,574,753 ON and 135,304,000 PN A.

The new plan authorizes the repurchase of up to 14,000,000 ON and up to 2,500,000 PN A for holding in treasury, sale or cancellation, subject to available funds and the limits set forth in CVM Resolution No. 77/2022. Considering the post-cancellation position, full use of the nominal limits could lead to up to 14,556,767 ON and 13,201,500 PN A in treasury, always subject to the effective limit of Article 9 of the same rule.

According to the company, the purpose of the plan is to provide greater strategic flexibility for capital management, allowing buybacks in scenarios where management believes the allocation is economically advantageous, including when common shares are trading at a discount relative to the economic metrics monitored. The expected effect is the improvement of economic metrics per share.

According to the most recent financial information, for the period ended June 30, 2026, OranjeBTC has funds in capital reserves totaling R$ 1,692,192 thousand to support potential repurchases, subject to prior confirmations before each acquisition. The 2025 plan is fully terminated, without, in itself, changing the previously disclosed option agreements with Vinteum Technology Inc.
