In a material fact released on Wednesday, September 2, 2026, Axia Energia (AXIA3, AXIA7) reported that the Board of Directors approved, on the same date, the 12th and 13th issuances of simple debentures (debt securities issued by companies), not convertible into shares, totaling up to R$ 3.5 billion, both with a 7-year term and maturing on September 15, 2033.

The 12th issuance will consist of unsecured debentures, in a single series, in the amount of R$ 1.5 billion, with semiannual interest payments, no grace period, and bullet amortization on the maturity date. The yield will be equivalent to NTN-B-2033 minus 0.29% per year, to be determined on a date to be set forth in the Distribution Agreement, and will benefit from the tax incentive provided for in Law No. 12,431/2011.

The 13th issuance will also consist of unsecured debentures, in a single series, in the amount of R$ 1.5 billion, with the possibility of partial distribution and exercise of an additional lot, which may increase the total amount of the issuance to up to R$ 2 billion. The securities will have semiannual interest payments, no grace period, bullet amortization on the maturity date, and a yield tied to the DI rate plus 0.70% per year.

According to the company, the 13th issuance will enable a voluntary tender offer (exchange offer) to holders of debentures of the 2nd series of Axia Energia’s 4th issuance, with the purpose of replacing the securities currently outstanding with debentures of the 13th issuance, under terms and conditions that will still be disclosed. The offers will be carried out through a public distribution offering, under the automatic registration procedure, aimed exclusively at professional investors.
