B3 (B3SA3) reported in a statement on Wednesday, September 2, 2026, that the Administrative Council for Economic Defense (CADE) has approved the purchase of 60% of the share capital of Central de Registro de Direitos Creditórios S.A. (CRDC), subject to the execution of a Concentration Control Agreement (ACC). Closing of the transaction is expected to occur by October 31, 2026, after fulfillment of the other applicable conditions precedent.

According to the company, the transaction calls for a cash outlay of R$ 15 million on the closing date and includes the possibility of exercising a call option for CRDC’s remaining stake starting in 2030, contingent on achievement of targets agreed between the parties.

B3 reiterated that the acquisition is aligned with its strategy to expand its credit infrastructure, aiming to broaden the range of solutions offered to the market in partnership with CRDC and the São Paulo Commercial Association (ACSP).
