Rede D'Or São Luiz (RDOR3) reported this Wednesday, September 2, 2026, that it entered into an Investment, Share Purchase and Sale and Other Covenants Agreement with Atlântica Hospitais e Participações S.A. for the contribution of Hospital Biocor, in Nova Lima, in the metropolitan region of Belo Horizonte (MG), to the Atlântica D'Or hospital network, a corporate partnership held 50.01% by Rede D'Or, as the hospital operator, and 49.99% by Atlântica.

According to the release, the acquisition of the equity interest corresponding to 49.99% of Hospital Biocor will represent an investment of approximately R$ 130,000,000.00 by Atlântica, the same amount paid by Rede D'Or on June 17, 2026, when it acquired the minority stake from the then shareholders of the hospital. The investment amount will be adjusted by the CDI variation until the closing of the transaction.

The company also reported that completion of the deal is subject to the fulfillment of customary conditions precedent for transactions of this type, including the necessary regulatory approvals.
